Board

The Board is responsible for governance, setting CAUL’s direction, managing risk, and overseeing CAUL’s financial performance.

Membership

The CAUL Board is comprised of seven Directors, including:

  • four Directors elected by and from CAUL Members
  • three Directors appointed by the Board for their professional skills and experience. Non-CAUL Members may hold these positions.

A Director’s term is three years, after which time an elected Director may seek re-election or an appointed Director may be reappointed. Board Directors may not serve more than two consecutive terms.

In addition to the Directors, CAUL’s Chief Executive Officer is an ex-officio member of the Board.

Officer positions

The Board appoints Directors to officer positions, including:

  • Chair
  • Deputy Chair
  • Chair of the Finance, Risk and Audit Committee

The Board may assign other roles as required, such as the Chair of the Content Procurement Committee.

Board manual

A Board Manual and other documents setting out the roles and responsibilities, structure and processes of the Board are kept in CAUL’s BoardPro platform. Other documents include Board Induction, Performance Evaluation and Succession Planning.

Board meetings

The Board meets at least four times per calendar year and holds an annual planning meeting, generally adjacent to a regular meeting.

Elections

Board elections are held annually (unless no terms are set to expire or there is no vacancy).
